Instructions to Shareholders for Converting Ordinary Unlisted Shares to ADSs

STEP 1:

The following four documents require completion and can be downloaded below:

  1. Cover Letter. Complete Section A on page 2 of the Cover Letter. Please note that page 1 of the Cover Letter must be included in the documentation provided to BNY in Step 2 below.
  2. Transfer Form. Complete all seller details of the Transfer Form. Please note that the buyer details have been pre-populated and do not require amendment.
  3. ADS Instruction Template. Complete the ADS Instruction Template using the information provided below.
  4. Deposit Certification Form: Please complete the Deposit Certification Form using the instructions found here.

For deliveries in DTC

Please note, if you have a broker account with a DTC participating broker, then ADSs will be delivered in accordance with the Delivery Order.

Deliveries of ADSs to a DTC broker will be made on a “Deliver versus Payment” (“DVP”) basis, i.e., the DTC broker will be charged with the issuance fees and they charge your account thereafter. You must advise your DTC broker to accept the ADSs and fees from BNYM prior to delivery.

For registered holders

If you do not have a brokerage account with a DTC participating broker, the only option is to deliver the ADSs in book-entry form, i.e., registered form. Your position will be recorded in our transfer book at Computershare. Computershare US administers Kazia’s DRS register on behalf of BNY Mellon (the Depositary Bank).

BNY Mellon will require you to wire the issuance fees prior to BNY Mellon delivering the ADSs. The Fedwire details are indicated on the Delivery Order form. The issuance fee rate is also on the form. Please email KaziaADRtransfers@bnymellon.com once the issuance fees have been wired.

  1. Deposit Certification: In connection with the placement of ordinary shares by Kazia Therapeutics that closed on December 3, 2025 (the “December 2025 Offering and Placement”), BNY Mellon, as Depositary, requires that all persons seeking to deposit ordinary shares and receive ADSs complete and submit the Deposit Certification prior to deposit. This requirement applies to all deposits through December 3, 2026, regardless of whether the shares were acquired in the December 2025 Offering and Placement. Complete the Deposit Certification using the instructions provided below.

    How to Complete the Form

    The Deposit Certification contains six categories. Select the one category that applies to your circumstances by checking the corresponding box:

    • Categories 1 and 2 apply to shareholders (or their broker-dealers) whose shares were not purchased in the December 2025 Offering and Placement and are not otherwise “restricted securities” under Rule 144 of the Securities Act of 1933. Legacy shareholders whose shares are not otherwise restricted securities will generally fall into one of these two categories.
    • Categories 3 and 4 apply to shareholders (or their broker-dealers) whose shares were not purchased in the December 2025 Offering and Placement but are being sold pursuant to an effective resale registration statement. Additional documentation confirming the details of the sale will be required.
    • Categories 5 and 6 apply to shareholders (or their broker-dealers) whose shares were purchased in the December 2025 Offering and Placement and are being sold pursuant to an effective resale registration statement. Additional documentation confirming the details of the sale will be required.

    Submission

    After selecting the applicable category, complete the signature block at the bottom of the form (including entity or individual name, authorized signature, printed name and title, and date) and submit the executed Deposit Certification to BNY Mellon in connection with your deposit of ordinary shares.

STEP 2:

Email the four completed documents along with the below to KaziaADRtransfers@bnymellon.com.

  1. A copy of one photo ID (Refer to the Transfer Form for a list of the acceptable seller identification documents)
  2. Accompanying share certificate

STEP 3:

The documents will be processed and the Kazia ADSs will be issued and delivered according to the ADS Instruction Form. If you chose to hold via the Direct Registration System (DRS), please allow 4 weeks for the ADS certificate to be received.

IMPORTANT:

Transfer requests will be rejected if any of the above steps are missed or not completed correctly.
